Terms of Service

1. These terms

These Terms of Service govern your access to and use of AskNeo, a product of DataChannel ("DataChannel", "we", "us"), with its office at 20th Floor, Magnum Global Park, Gurugram, Haryana, India.

By creating an account, starting a trial, or using AskNeo, you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it, and "you" means that organisation.

2. The service

AskNeo connects to your data warehouse, builds a context layer over the tables you select, and lets your team ask questions in plain language. It returns SQL, results, charts and written analysis, and lets you pin those outputs to Storyboards.

AskNeo issues read-only queries. It does not write to, alter, or delete data in your warehouse.

3. Accounts

You must provide accurate registration details and keep them current. You are responsible for activity under your account and for the confidentiality of credentials, including the warehouse credentials you supply to AskNeo. Notify us promptly at info@datachannel.co if you suspect unauthorised access.

4. Plans and credits

AskNeo is sold on a credit model. Credits are consumed as follows:

• 1 credit per response returned by Neo in a thread, including follow-up responses.
• 10 credits per Storyboard refresh, which re-runs every chart on the board and checks the results.
• No credits for opening threads, reading Storyboards, exporting or sharing.

Current plans are: Demo (free, 300 credits, demo collection only); Pro at USD 199 per month (2,000 credits, 1 collection); and Scale at USD 399 per month (3,000 credits, 3 collections).

Credits reset at the start of each billing cycle and do not roll over. Fees are stated exclusive of taxes, which are your responsibility. You may upgrade or downgrade at any time; changes take effect immediately and billing is adjusted accordingly. Fees already paid are non-refundable except where required by law.

5. Trial

The Demo plan provides 300 credits on a prepared demo collection at no charge and requires no payment card. We may modify or withdraw the trial at any time.

6. Your data

As between you and DataChannel, you own all data in your warehouse and all content you create in AskNeo, including Storyboards, saved definitions and thread history ("Customer Data").

You grant us a limited licence to process Customer Data solely to provide and support the service. We do not use Customer Data to train machine learning models. Our handling of personal data is described in our Privacy Policy.

7. Acceptable use

You agree not to:

• Connect AskNeo to data you are not authorised to access.
• Use the service to build a competing product, or benchmark it for publication, without our written consent.
• Reverse engineer, decompile, or attempt to extract the underlying models or prompts.
• Probe, scan or interfere with the security or integrity of the service, or circumvent credit metering or access controls.
• Upload malware, or use the service unlawfully or to infringe the rights of others.

8. AI output

AskNeo generates SQL and written analysis using large language models. Output may be incomplete or incorrect. It is a starting point for analysis, not a substitute for professional judgement.

You are responsible for reviewing output before relying on it, and in particular before using it for financial reporting, regulatory filings, or any other decision with legal or financial consequence. Every query AskNeo runs is recorded in the audit log so that results can be verified against the underlying data.

9. Availability and support

We aim to keep AskNeo available continuously but do not guarantee uninterrupted access. Maintenance, third-party outages and factors outside our control may affect availability. Support is provided by email at info@datachannel.co; the Scale plan includes priority support.

10. Intellectual property

DataChannel and its licensors retain all rights in AskNeo, including the software, models, knowledge graph technology, interface and documentation. These terms grant you a non-exclusive, non-transferable right to use the service during your subscription, and nothing more.

11. Confidentiality

Each party may receive non-public information from the other. The receiving party will protect it with at least reasonable care, use it only to perform under these terms, and not disclose it except to personnel and advisers bound by comparable obligations, or where required by law.

12. Disclaimer of warranties

To the maximum extent permitted by law, AskNeo is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or that any output will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data.

Our total aggregate liability arising out of or relating to these terms will not exceed the fees you paid to us in the twelve months preceding the event giving rise to the claim. These limits do not apply to your payment obligations, to either party’s breach of confidentiality, or to liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify DataChannel against third-party claims arising from your Customer Data, your use of the service in breach of these terms, or your violation of law or third-party rights.

15. Term and termination

These terms apply for as long as you use AskNeo. You may cancel at any time, effective at the end of the current billing cycle. We may suspend or terminate access for material breach, non-payment, or where required by law, with notice where practicable.

On termination your right to use the service ends. You may export your Storyboards before termination. We will delete Customer Data in accordance with our Privacy Policy.

16. Changes

We may modify the service or these terms. If a change to these terms is material we will give account holders reasonable notice by email or in the application. Continued use after the change takes effect constitutes acceptance.

17. Governing law

These terms are governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction, save that either party may seek injunctive relief in any court of competent jurisdiction.
